What are you talking about wasn't that fixed a lot of revision ago? nvidia has the upper hand because they have more power from GTX260 -> GTX285 than most ati cards!?!?

Indeed the diff between ATI and Nvidia in gsdx performance is quite minimal now. I think Nvidia still has a slight edge, but then the cards also generally come with a bigger price tag too, so it works out pretty fairly in the end regardless what route you go.
... but the poster didn't ask about video cards, so it seems off-topic.
Anyways, C2D is your better choice, as is th gigabyte system board. Having a good system board is actually quite important and well worth the money. It can save countless headaches and will give you a lot more options for overclocking (something the E7400 is well suited for).

Make sure that Gigabyte motherboard support FSB at 1600 MHz, you must overclock CPU for almost all games run at normal speed.

We are talking about a 2.8Ghz C2D, with my overclocked to 3,0Ghz i pretty much get full speed in most of my games so i don't think that he needs to overclock for almost all games unless he want to run problematic games that even so some of them can get good with the right configs and speedhacks, of course it would be great if all people would have 4.3Ghz even without overclocking.

On what game I played some of them need GSDX D3D software to produce flawless images. thus game speed rely on CPU frequency. If you don't wanna overclock, you must tolerate low speed than normal speed.

Many CPU's default frequencies are sufficient to run a majority of ps2 games at full speed with little to no slowdown.
